1. Agreement to Terms

Welcome to GrapplersHub. These Terms of Service ("Terms") govern your access to and use of the GrapplersHub website, mobile applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

GrapplersHub is operated by GrapplersHub LLC, a company registered in the State of Connecticut, United States. Our principal place of business is located in Connecticut, and these Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time. Your continued use of the Services following any changes constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years of age to use our Services. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian. By using our Services, you represent and warrant that you meet these eligibility requirements.

In accordance with Connecticut General Statutes § 42-471 et seq. (Connecticut Unfair Trade Practices Act), we are committed to fair and honest business practices. Users who misrepresent their age or eligibility may have their accounts terminated.

3. Account Registration

To access certain features of our Services, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

4. Services Description

GrapplersHub provides a platform connecting martial arts students, coaches, and clubs. Our Services include but are not limited to:

• Coach and club discovery and booking
• Live and recorded training classes
• Marketplace for martial arts equipment and gear
• Community features and communication tools
• Progress tracking and certification management
• Podcast and educational content

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

5. User Conduct

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations, including Connecticut state laws
• Infringing on the intellectual property rights of others
• Transmitting any harmful, threatening, abusive, or harassing content
• Impersonating any person or entity
• Interfering with or disrupting the Services or servers
• Attempting to gain unauthorized access to any portion of the Services
• Using the Services for any illegal or unauthorized purpose
• Collecting or harvesting any personally identifiable information from the Services
• Using automated systems to access the Services without our permission

6. Coach and Instructor Terms

If you register as a coach or instructor on our platform, you additionally agree to:

• Provide accurate information about your qualifications, certifications, and experience
• Maintain all necessary licenses and certifications required by Connecticut law and your jurisdiction
• Carry appropriate liability insurance for your instruction activities
• Comply with all applicable health and safety regulations
• Not engage in any conduct that could harm students or bring disrepute to the platform
• Report any incidents or injuries that occur during training sessions

GrapplersHub does not employ coaches or instructors. Coaches are independent contractors solely responsible for their own tax obligations, insurance, and compliance with applicable laws.

7. Payments and Refunds

Certain Services require payment. By purchasing any paid Services, you agree to pay all applicable fees and taxes. All payments are processed through secure third-party payment processors.

Refund Policy: In accordance with Connecticut consumer protection laws:

• Subscription fees are non-refundable except as required by law
• Class bookings may be cancelled up to 24 hours before the scheduled time for a full refund
• Cancellations within 24 hours may be subject to a cancellation fee
• Marketplace purchases are subject to individual vendor return policies
• Digital content purchases are non-refundable once accessed

We reserve the right to modify our pricing at any time. Price changes will not affect existing subscriptions until renewal.

8. Intellectual Property

The Services and all content, features, and functionality are owned by GrapplersHub LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. You may not:

• Copy, modify, or distribute any content from the Services
• Use any data mining, robots, or similar data gathering methods
• Reverse engineer or attempt to extract the source code of the Services
• Remove any copyright or proprietary notices

9. User Content

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant GrapplersHub a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content in connection with the Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third party's rights or any applicable laws.

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason.

10. Assumption of Risk

Martial arts training involves inherent risks of injury. By using our Services to find coaches, book classes, or participate in training activities, you acknowledge and assume these risks.

You agree to:

• Consult with a physician before beginning any training program
• Inform your coach of any medical conditions or limitations
• Use appropriate safety equipment during training
• Follow all safety instructions provided by coaches and facilities

GrapplersHub is not responsible for any injuries that occur during training sessions arranged through our platform.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not endorse, warrant, or assume responsibility for any third-party services or content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CONNECTICUT LAW, GRAPPLERSHUB LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless GrapplersHub LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Hartford, Connecticut.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction in Connecticut.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Hartford County, Connecticut.

16. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and GrapplersHub LLC regarding your use of the Services and supersede all prior agreements and understandings.
